Terms of Use
1. Parties and Definitions
1.1. This User Agreement ("Agreement") is established electronically upon the User's approval between Uzmo Teknoloji Sanayi Limited Şirketi ("UZMO"), residing at Ataköy 7-8-9-10. Kısım Mah. Çobançeşme E-5 Yan Yol Cad. Ataköy Towers A Blok No:20/1 İç Kapı No:109 Bakırköy / İstanbul, and the real or legal person ("User") who registers for the cloud-based financial and business management applications ("Application") accessed via www.uzmo.com.tr and www.uzmoteknoloji.com ("Site") or mobile applications.
1.2. The Site and the Application are collectively referred to as the "Platform"; any data uploaded to or created on the Platform by the User is referred to as "Content"; and persons authorized by the User to access their account (e.g., employees, financial advisors) are referred to as "Authorized Users."
1.3. Package and pricing information published on the Platform, the Preliminary Information Form, Distance Sales Agreement, Privacy Notice, and Cookie Policy complement this Agreement.
2. Subject and Scope
2.1. This Agreement sets forth the terms and conditions for the User's utilization of the Platform, as well as the rights and obligations of the parties.
2.2. The Platform is a software service. Unless expressly undertaken in writing, UZMO does not provide financial advisory, tax, or legal consulting services through the Platform; calculations and reports on the Platform are based solely on the data entered by the User.
3. Account and Security
3.1. The User declares that the information provided during registration is accurate, complete, and up-to-date; that they are at least 18 years old and possess the legal capacity to enter into this Agreement; and if registering on behalf of a business, that they are authorized to represent said business. In such case, rights and obligations arising from the Agreement belong to the respective business.
3.2. UZMO reserves the right to reject an account opening on justified grounds such as illegality, false information, previously terminated accounts due to breach, or similar reasons.
3.3. The User is responsible for maintaining the confidentiality and security of their access credentials, agreeing to use strong passwords and enable two-factor authentication if provided. Actions taken through the account shall be deemed executed by the User, except for unauthorized access resulting from UZMO’s fault. The User agrees to notify UZMO immediately upon suspicion of any unauthorized use.
3.4. The User determines, modifies, or revokes Authorized Users and their access permission levels at their own discretion. The User remains responsible for all actions taken on the Platform by Authorized Users. In case of disputes regarding access to the account or Content, the decision of the User holding the account shall prevail.
3.5. The User may not transfer or assign their account or rights under this Agreement to third parties without UZMO's prior written consent.
4. Terms of Use
4.1. The User shall use the Platform solely for lawful purposes and in compliance with this Agreement. The User may also use the Platform on behalf of third parties (e.g., clients) provided they are authorized to do so; the User warrants that they have obtained all necessary authorizations, disclosures, and consents regarding Content related to such third parties.
4.2. The User agrees not to: (a) jeopardize the security and integrity of the Platform or hosted systems, (b) hinder other users' access or use, (c) attempt unauthorized access, (d) upload malicious code or unlawful content; nor shall the User copy, modify, reverse engineer, decompile, or attempt to derive the source code of the Platform, or scrape the Platform using automated tools.
4.3. Depending on the selected subscription package, operational, user, storage, or similar usage limits may apply as specified on the Platform.
4.4. If communication tools (messaging, comments, support chat, etc.) are made available on the Platform, the User shall use them lawfully without sending spam, offensive material, or harmful files. UZMO reserves the right to modify or remove these tools.
5. Content, Backup, and Statutory Retention Obligations
5.1. Content belongs exclusively to the User. The User is responsible for the accuracy and legality of the Content, as well as the timely and correct fulfillment of statutory duties regarding invoices, declarations, notifications, and similar obligations.
5.2. The User grants UZMO a limited right to host, process, copy, and transmit Content strictly for the purposes of service delivery, maintenance, support, backup, and security. UZMO may permit its subcontractors under confidentiality obligations (e.g., hosting providers, e-transformation integrators, payment institutions) to exercise these rights for the same purposes.
5.3. UZMO performs regular backups of Content in accordance with industry standards and takes reasonable technical and administrative measures to prevent data loss. However, statutory retention duties for books, records, and documents under tax and commercial legislation remain with the User; the User is advised to regularly download copies of their Content using the Platform’s export features.
5.4. UZMO will delete or block access to Content only: (a) upon the User’s instruction, (b) upon termination of the Agreement (Article 10), or (c) pursuant to a binding order from competent authorities or mandatory legal requirements, notifying the User in advance where feasible.
5.5. The User may delete Content via the Platform at any time. Records required to be retained by law (e.g., e-documents) fall outside the scope of deletion.
5.6. UZMO may process usage data in an anonymized format (where identity cannot be determined) for statistical analysis, product improvement, and reporting purposes.
6. Personal Data
6.1. UZMO acts as a Data Controller regarding account, contact, billing, and usage data belonging to the User and Authorized Users, processing such data in accordance with Law No. 6698 on the Protection of Personal Data ("KVKK") and its Privacy Notice.
6.2. For third-party personal data included within Content uploaded by the User (e.g., customer, supplier, or employee data), the User acts as the Data Controller, and UZMO acts as the Data Processor. In this capacity, UZMO shall:
- Process data only in accordance with the User's instructions and for the provision of services.
- Implement appropriate technical and administrative security measures under Article 12 of KVKK and subject personnel to confidentiality obligations.
- Require sub-processors to abide by equivalent obligations.
- Inform the User without delay upon becoming aware of a data breach and cooperate accordingly.
- Forward data subject access requests to the User.
- Return or delete data upon termination of the Agreement pursuant to Article 10.
6.3. The User warrants that third-party personal data in Content has been lawfully obtained, required disclosures have been provided, and explicit consent has been secured where necessary.
7. E-Transformation Services and Official Portal Credentials
7.1. The User agrees that any official access credentials—such as Revenue Administration (GİB) portal or Interactive Tax Office credentials—entered into the Platform to utilize e-Invoice, e-Archive, or similar e-transformation services are submitted voluntarily and can be deleted by the User at any time.
7.2. UZMO stores these credentials in an encrypted format, uses them solely to carry out transactions requested by the User, and does not share them with third parties.
7.3. The User is responsible for preventing unauthorized use of their credentials and must update passwords and notify UZMO immediately if compromise is suspected. UZMO shall not be liable for losses resulting from the User's breach of these obligations.
7.4. Monitoring whether the requirements and tax liabilities for issuing relevant e-documents are met remains the sole responsibility of the User.
8. Fees and Payment
8.1. Access to paid features of the Platform is contingent upon payment of fees announced on the Platform under the stated conditions. Applicable taxes are listed separately unless indicated otherwise.
8.2. UZMO may offer free trial periods as specified on the Platform. At the end of a trial period, the User will not be transitioned to a paid subscription or billed unless a package is selected and paid for; the account may revert to a restricted mode.
8.3. Subscriptions automatically renew at the end of each billing cycle for an equivalent period, based on approval given at purchase. The User may disable automatic renewal at any time prior to the end of the term via the account dashboard.
8.4. Price and package changes do not apply to the active billing cycle and will be notified via email at least 30 days prior to the renewal date. Users who do not accept changes may cancel auto-renewal.
8.5. Package upgrades take effect immediately, whereas downgrades take effect at the end of the active billing cycle unless stated otherwise.
8.6. For Users acting for commercial or professional purposes, no refunds will be issued for remaining periods in subscriptions terminated mid-term due to reasons not attributable to UZMO’s fault. Consumer Users’ rights of withdrawal and termination under the Regulation on Subscription Agreements remain reserved.
8.7. Invoices are issued electronically and sent using contact details provided by the User. For post-paid services, invoices are due within 7 days of the invoice date. UZMO may suspend services by giving at least 7 days' prior notice for overdue payments.
8.8. Credit card details are not stored by UZMO; recurring payment details are handled securely by licensed payment service providers or banks with the User's authorization.
9. Intellectual Property
9.1. All rights in and to the Platform, software, design, trademarks, logos, and domain names belong to UZMO. The User is granted a non-exclusive, non-transferable, non-sublicensable, limited right to use the Platform during the subscription term. Nothing in this Agreement shall be interpreted as a transfer of intellectual property rights to the User.
9.2. The User may not use UZMO's trademarks or logos without prior written consent. UZMO may use the User's trade name and logo as a reference only with the User's prior consent.
10. Term, Suspension, and Termination
10.1. This Agreement enters into force upon the User's approval and remains effective until terminated by either party.
10.2. The User may terminate the Agreement at any time via the account panel or by sending a written notification to info@uzmoteknoloji.com.
10.3. UZMO may suspend the account or terminate this Agreement if: (a) the User breaches the Agreement and fails to remedy the breach within 7 days of notification, or (b) there is a security threat, unlawful usage, or an order from authorized authorities. In cases of urgent security risks, suspension may be applied immediately with prompt notification to the User.
10.4. If UZMO decides to discontinue the Platform or a service entirely, it will notify the User at least 60 days in advance and refund any prepaid fees for unused periods.
10.5. For 30 days following termination, the User may request read-only access to their account to export Content. Upon expiration of this period, Content will be deleted or anonymized, excluding records required to be stored by law or for evidence in legal disputes.
10.6. Termination does not relieve either party of accrued rights and obligations prior to the date of termination.
11. Service Level and Support
11.1. UZMO makes reasonable efforts to ensure uninterrupted and error-free operation of the Platform; however, it does not guarantee uninterrupted or error-free accessibility at all times. Scheduled maintenance will be announced in advance where feasible and conducted during low-usage hours.
11.2. UZMO shall not be liable for interruptions or errors resulting from the User’s internet connection, devices, or third-party service providers (e.g., GİB, banks, integrators, payment processors).
11.3. Support requests are handled through the support channels provided on the Platform and via info@uzmoteknoloji.com.
11.4. Third-party links on the Platform are provided solely for convenience; UZMO assumes no responsibility for external content.
12. Limitation of Liability
12.1. UZMO shall be liable for damages resulting directly from intentional misconduct or gross negligence in breaching its obligations under this Agreement; such liability cannot be limited.
12.2. In all other cases, UZMO shall not be liable for indirect damages, including loss of profit, business interruption, loss of reputation, or administrative fines. UZMO’s total aggregate liability shall be limited to the total amount paid by the User for the relevant service in the 12 months preceding the event giving rise to liability.
12.3. The User is solely responsible for consequences arising from incorrect, incomplete, or late data entry, as well as failure to meet legal notification and payment obligations.
12.4. The User shall indemnify UZMO against any losses, damages, legal expenses, and attorney fees resulting from third-party claims alleging that the User’s Content or usage breaches third-party rights or this Agreement.
12.5. Imperative consumer rights of Consumer Users under Law No. 6502 and relevant legislation remain reserved; limitations in this section shall not be construed to invalidate such statutory rights.
12.6. In cases of force majeure (natural disasters, war, pandemics, cyberattacks, widespread infrastructure failures, legislative changes, etc.), the obligations of the parties shall be suspended for the duration of the event.
13. Amendments to the Agreement
13.1. UZMO may update this Agreement due to legal requirements, new features, or security needs. Material changes will be notified at least 15 days in advance via email or in-app notification.
13.2. Users who do not accept the updated terms may terminate the Agreement prior to the effective date, receiving a pro-rata refund for prepaid unused periods. Continued use of the Platform after the effective date constitutes acceptance of the changes.
13.3. Amendments mandated by legislation may take effect immediately.
14. Notifications and Evidence
14.1. Notifications will be delivered to the User's registered email address or via in-app messages. The User is responsible for maintaining an up-to-date email address. Formal notice requirements between merchants pursuant to Article 18/3 of the Turkish Commercial Code No. 6102 remain reserved.
14.2. For merchant Users, UZMO’s electronic and system records constitute binding evidence within the meaning of Article 193 of the Code of Civil Procedure No. 6100. For Consumer Users, these records serve as discretionary evidence.
15. Commercial Electronic Messages
Commercial electronic messages for promotional or marketing purposes are subject to explicit consent provided separately from this Agreement; consent is not a prerequisite for entering into this Agreement. Service-related announcements, invoices, security alerts, and agreement update notifications fall outside this scope.
16. Miscellaneous
16.1. If any provision of this Agreement is held invalid, the validity of the remaining provisions shall remain unaffected.
16.2. In case of conflict between this Agreement and its annexes, specific supplementary texts (e.g., order summaries, Distance Sales Agreements) shall take precedence regarding that specific matter.
16.3. Failure by either party to exercise any right under this Agreement shall not be construed as a waiver of that right.
16.4. This Agreement is governed by Turkish Law. Disputes between UZMO and merchants or Users acting for commercial/professional purposes shall be subject to the exclusive jurisdiction of the Istanbul Central (Çağlayan) Courts and Execution Offices. Consumer Users may apply to Consumer Arbitration Committees or Consumer Courts in their place of residence.
