1. Seller / Provider Information

Complaints and requests may be submitted via the phone, email, and postal address specified above.

2. Buyer Information

The BUYER's name-surname/title, address, phone number, and email address are as declared by the BUYER during the order process.

3. Contract Subject Product / Service and Pricing

3.1. The type, package, scope, duration, quantity, and total sales price including all taxes of the product or service are as displayed on the order summary screen and in the order confirmation sent to the BUYER via email.

3.2. The primary products and services provided by UZMO include: subscriptions for web-based pre-accounting and business management software; e-transformation services (e-Invoice, e-Archive, e-Waybill, e-SMM, e-Producer, etc.); corporate consulting and transaction services such as company establishment and trademark registration; e-signature, website, and corporate identity services.

3.3. For subscription-based services, the fee is displayed on the order screen as the total amount including all taxes based on the selected billing period (monthly/annual). No additional fees beyond the displayed amount will be requested from the BUYER.

3.4. Fees paid to official authorities such as duties, stamp taxes, notary fees, registry fees, and similar expenses, if not included in the service fee, and their estimated amounts are specified separately on the order screen.

4. Payment

4.1. Payment shall be made via credit card / debit card or bank transfer/EFT. If installment options are available for card payments, the number of installments and amounts are shown on the payment screen.

4.2. Card information is not stored by UZMO; payments are processed through the infrastructure of a licensed payment institution/bank.

4.3. In the event of unlawful use of the card by a person other than the rightful cardholder, the provisions of Law No. 5464 on Bank Cards and Credit Cards and relevant legislation shall apply.

5. Performance and Delivery

5.1. Software subscriptions and e-transformation services are performed electronically by activating the BUYER's account upon payment confirmation. For e-transformation services requiring official applications, activation depends on the approval of the relevant official authority.

5.2. Consulting and transaction services shall be performed within the timeframe specified on the order screen, online or at a location agreed upon by the parties. UZMO shall not be held liable for time extensions resulting from delays in the provision of required information and documents by the BUYER.

5.3. Physical products shall be delivered to the address provided by the BUYER within the timeframe specified on the order screen, and in any event within 30 days at most from the order date. If the delivery cost is to be borne by the BUYER, the amount will be displayed on the order screen.

6. Operational Conditions of Digital Content

UZMO software is cloud-based; it runs on computers, tablets, and smartphones equipped with an up-to-date internet browser and internet connection. No installation is required. Account access is provided via username and password.

7. Right of Withdrawal (For Consumers)

7.1. A BUYER acting in the capacity of a consumer has the right to withdraw from the contract within 14 (fourteen) days without giving any reason and without paying any penalty. The period begins on the day the contract is concluded for service contracts, and on the day the goods are delivered to the BUYER or a third party designated by the BUYER for goods delivery contracts.

7.2. The notice of withdrawal must be submitted in writing or via a durable medium before the period expires; via email to satis@uzmoteknoloji.com, by mail to the address above, or through the cancellation/withdrawal form on the account panel, if available. The BUYER may use the sample withdrawal form provided in the Annex of the Regulation if desired.

7.3. UZMO shall refund all collected payments, including delivery costs (if any), within 14 days from the date the withdrawal notification reaches UZMO, using the same payment method used by the BUYER in a single lump-sum payment.

7.4. In sales of goods, the BUYER shall return the goods to UZMO within 10 days from the date the withdrawal notification is directed. The designated carrier for returns is Aras Kargo; if the return is made using this carrier, return expenses shall be borne by UZMO. The BUYER is responsible for any alterations and damage occurring outside the ordinary use of the goods.

8. Exceptions to the Right of Withdrawal

Pursuant to Article 15 of the Regulation on Distance Contracts, the right of withdrawal cannot be exercised in the following cases:

• Services performed instantly in an electronic environment or intangible goods delivered instantly to the BUYER (e.g., instantly activated credits, licenses, digital content).
• Services whose performance has started with the BUYER's consent before the expiration of the right of withdrawal period (e.g., company formation, trademark applications, consulting, and e-transformation application processes initiated at the BUYER's request).
• Products and services prepared in accordance with the BUYER's explicit requests or personal needs.
• Other exceptions listed in the legislation.

When the BUYER requests the commencement of a service falling within this scope before the expiration of the withdrawal period, they explicitly confirm the statement on the order screen: "I approve the immediate performance of the service; I acknowledge that I will lose my right of withdrawal upon the commencement of performance."

9. Subscription Renewal and Termination

9.1. Subscriptions renew at the end of the selected period for the same duration and at the price valid on the renewal date, in accordance with the approval given by the BUYER during the order. Price changes will be notified to the BUYER via email a reasonable time prior to the renewal date.

9.2. The BUYER may turn off auto-renewal at any time via the account panel or by notifying satis@uzmoteknoloji.com.

9.3. The rights of a BUYER acting as a consumer regarding termination and refund under the Regulation on Subscription Agreements remain reserved.

10. Complaints and Dispute Resolution

10.1. The BUYER may submit complaints to UZMO through the communication channels specified in Article 1. UZMO strives to respond to applications within 7 business days at the latest.

10.2. A BUYER acting as a consumer may apply to the Consumer Arbitration Committee in the location of their residence or where the transaction was conducted within the monetary limits declared annually by the Ministry of Commerce; and for disputes exceeding these limits, to the Consumer Court following mandatory mediation.

11. Non-Consumer Buyers

Real and legal persons acting for commercial or professional purposes are not deemed consumers within the meaning of Law No. 6502. For these BUYERS, the right of withdrawal and other consumer legislation-specific provisions do not apply; the relationship is governed by the Distance Sales Agreement, User Agreement, and general provisions of law.

12. Confirmation

The BUYER electronically confirms that they have been clearly and understandably informed about the basic characteristics of the product/service, total price including all taxes, payment and delivery/performance conditions, right of withdrawal and its exceptions, as well as complaint and application mechanisms prior to establishing the contract and incurring payment obligations. A copy of this form and the Distance Sales Agreement shall be sent to the BUYER's email address.
