2.2. If the BUYER is a consumer, the Law No. 6502 on the Protection of Consumers, the Regulation on Distance Contracts, and, depending on the nature of the service, the Regulation on Subscription Agreements shall apply to this Agreement. The Pre-Information Form and the order summary constitute an integral part of this Agreement.

2.3. BUYERS acting for commercial or professional purposes are not deemed consumers. For these BUYERS, provisions specific to consumers in this Agreement (in particular Articles 7, 8, and 12.2) shall not apply; the provisions of the Turkish Code of Obligations No. 6098 and the Turkish Commercial Code No. 6102 shall govern.

Article 3 – Contract Subject Product / Service, Fee, and Payment

3.1. The type, package, duration, quantity, total fee including all taxes, and payment method of the product/service are as specified on the order summary screen and in the order confirmation sent to the BUYER via email.

3.2. Payment shall be made by credit card / debit card or bank transfer/EFT. Announced prices remain valid until updated; the price of an established contract cannot be unilaterally increased retroactively.

3.3. In the event an order is received based on an explicitly misquoted price significantly below market value due to an obvious typographical or system error, UZMO shall notify the BUYER immediately. If the BUYER does not agree to proceed with the order at the correct price, the order shall be canceled, and the collected fee shall be refunded within 14 days at the latest.

Article 4 – Establishment of the Contract

4.1. The Agreement is established upon the BUYER's electronic approval of the Pre-Information Form and this Agreement, and UZMO's confirmation of the order. Wet signature or physical delivery of a signed copy is not required.

4.2. UZMO shall send a copy of this Agreement and the Pre-Information Form to the BUYER's email address and retain them for the period stipulated by legislation.

4.3. The BUYER declares that they are at least 18 years old and possess the legal capacity to enter into this Agreement; and if acting on behalf of a legal entity, that they are duly authorized to represent it.

Article 5 – Performance and Delivery

5.1. Software subscriptions and other digital services are performed electronically by activating the BUYER's account upon payment confirmation.

5.2. Consulting and transaction services (company establishment, trademark registration, e-transformation applications, etc.) shall be performed within the timeframe specified on the order screen. The BUYER is obligated to provide necessary information and documents accurately, completely, and in a timely manner. UZMO shall not be held liable for processing times or decisions of official authorities (e.g., rejection of a trademark application); UZMO's obligation is to conduct the transaction with due care.

5.3. Physical products shall be delivered to the address provided by the BUYER within the committed period, and in any case within a maximum of 30 days from the order date. If delivery is not made within this period, the BUYER may terminate the contract; in such case, all fees collected shall be refunded within 14 days. UZMO remains responsible for loss and damage until the product is delivered to the BUYER or a designated third party.

5.4. UZMO shall not be liable for consequences arising from a third party designated by the BUYER refusing delivery or providing an incorrect delivery address.

5.5. In the event that performance of the product or service becomes impossible, UZMO shall notify the BUYER in writing or via durable medium within 3 days of learning of the situation, and refund the entire collected fee within 14 days at the latest from the notification date.

Article 6 – Obligations of the Parties

6.1. UZMO is obligated to provide the product or service in full, in accordance with the specifications stated in the order, and in compliance with applicable legislation.

6.2. If the payment is not made or is canceled by the bank/payment institution, UZMO's obligation to perform shall cease; UZMO reserves the right to claim the fee for services already performed.

6.3. If the BUYER disputes a card payment with their bank claiming unauthorized card use and the fee is not remitted to UZMO, the BUYER shall return any physical product delivered to them back to UZMO within 10 days. The provisions of Law No. 5464 regarding unlawful card usage remain reserved.

6.4. The statutory rights of a consumer BUYER regarding defective goods and services under Articles 11 and 15 of Law No. 6502 remain reserved. Shipping expenses for returning warranty-covered items for repair shall be borne by UZMO.

Article 7 – Right of Withdrawal

7.1. A consumer BUYER has the right to withdraw from this Agreement within 14 days without giving any reason and without incurring any penalty. The period begins on the day the Agreement is established for service contracts, and on the day the goods are delivered to the BUYER or a designated third party for goods delivery contracts.

7.2. Notice of withdrawal must be delivered within the statutory period in writing or via a durable medium (via email to satis@uzmoteknoloji.com, by mail to UZMO's address, or through the form on the account panel, if available). Sending the notice within the specified period is sufficient.

7.3. UZMO shall refund all collected amounts, including delivery costs (if any), within 14 days from the date the withdrawal notification reaches UZMO, using the same payment method used by the BUYER in a single lump-sum payment without incurring extra costs for the BUYER. For card payments, the time required for refunds to reflect on the account depends on the bank.

7.4. In sales of goods, the BUYER shall return the goods to UZMO within 10 days of the withdrawal notice. When returned via the carrier specified in the Pre-Information Form, return shipping costs shall be borne by UZMO. The BUYER is not liable for changes occurring from using the goods in accordance with their operation and technical specifications during the withdrawal period; however, they remain liable for value reduction exceeding ordinary inspection.

7.5. Return Invoice: If the BUYER is a tax-paying entity, returns shall be processed upon issuance of a return invoice by the BUYER. Return of the original invoice from a consumer BUYER is not required as a prerequisite for refund.

Article 8 – Exceptions to the Right of Withdrawal

8.1. Pursuant to Article 15 of the Regulation on Distance Contracts, the right of withdrawal cannot be exercised for: (a) services performed instantly in an electronic environment and intangible goods delivered instantly; (b) services whose performance has commenced with the BUYER's approval prior to the expiration of the withdrawal period; (c) products and services prepared in accordance with the BUYER's explicit requests or personal needs; and (d) other statutory cases listed in the legislation.

8.2. For services whose performance is to commence prior to the expiration of the withdrawal period, UZMO shall explicitly obtain the BUYER's consent and statement acknowledging the loss of the right of withdrawal during the order process. In the absence of such approval, the right of withdrawal continues.

8.3. Services: Service fees shall be refunded in full if withdrawal occurs before performance begins. Where performance has commenced and been partially performed with the BUYER's approval under 8.2, although no statutory right of withdrawal exists, should the contract be terminated by the BUYER, the remaining amount shall be refunded after deducting the fee for the portion performed up to that point as well as official fees and expenses paid.

8.4. Electronic Signature Sets: Qualified Electronic Certificates are personalized based on the BUYER's identity information. Therefore, if the certificate has been generated, loaded onto a secure electronic signature creation device (USB token/smart card), or identity verification for the certificate has been completed, the right of withdrawal cannot be exercised pursuant to Article 15/1-c of the Regulation. If the certificate has not been generated, identity verification has not been performed, and the device packaging remains unopened, the BUYER may exercise their right of withdrawal within 14 days; the certificate application will be canceled, and the full amount will be refunded.

8.5. The absence of a right of withdrawal does not eliminate the BUYER's statutory rights regarding defective goods and services: if the electronic signature creation device is damaged or defective upon delivery, or if an erroneous certificate is generated due to UZMO's fault, the device shall be repaired or replaced free of charge, the certificate reloaded within the framework of the relevant electronic certificate service provider's rules, and shipping costs borne by UZMO. In cases resulting from user error (PIN/PUK locking, physical damage, loss), device replacement and reissuance are subject to additional fees.

Article 9 – Subscriptions

9.1. Subscription-based services auto-renew at the end of the selected period for the same duration, pursuant to the approval given by the BUYER during the order. The BUYER may turn off auto-renewal at any time via the account panel or by email.

9.2. The rights of a consumer BUYER regarding termination and pro-rata refunds for prepaid unused periods under the Regulation on Subscription Agreements remain reserved.

9.3. Regarding operational conditions of subscriptions, the User Agreement shall apply.

Article 10 – Force Majeure

Events beyond the control of the parties, such as natural disasters, war, epidemics, strikes, infrastructure and internet outages, failures in official systems, or legislative changes, shall suspend obligations for the duration of the hindrance. UZMO shall notify the BUYER without delay. If the hindrance exceeds 30 days, the BUYER may cancel the order, in which case the fee corresponding to the unperformed portion shall be refunded within 14 days.

Article 11 – Personal Data and Commercial Communications

11.1. The BUYER's personal data shall be processed in accordance with Law No. 6698 on the Protection of Personal Data and within the scope detailed in the Privacy Notice published on the Platform.

11.2. Sending commercial electronic communications to the BUYER is subject to separate consent provided by the BUYER independently from this Agreement. Transactional and service-related informational messages fall outside this scope.

Article 12 – Dispute Resolution and Jurisdiction

12.1. This Agreement shall be governed by Turkish Law.

12.2. A consumer BUYER may apply to the Consumer Arbitration Committee in the jurisdiction of their residence or where the transaction was conducted within the monetary limits declared annually by the Ministry of Commerce; and for disputes exceeding these limits, to the Consumer Court following mandatory mediation.

12.3. For disputes between UZMO and non-consumer BUYERS, the Istanbul Central (Çağlayan) Courts and Execution Offices shall have exclusive jurisdiction.

Article 13 – Enforcement
